- What is the format of the OPTRACK demo, and how long would it take?
The OPTRACK Demo is an online meeting that is conducted with one single company to address the specific needs of that company, and therefore it can be very flexible. The demo can take as short as 15 minutes or as long as 3 hours, depending on the specific features and topics you would like to address. The average demo usually takes between 35 and 45 minutes.
- What will be covered in the OPTRACK demo?
The presenter will guide you through a tour of OPTRACK’s main features and benefits, including both the accounting and administrative aspects of all equity instruments. The demo is a one-to-one interactive seminar that is designed to address all your specific interests and questions along its way.
- Can I try OPTRACK before buying it?
You will not be asked to pay any invoice that you receive from us until you are 100% satisfied and that we have exceeded your expectations, and that you are getting a much higher value from OPTRACK than the amount of the invoice. This means that you will not need to pay anything until all your historical data is fully reconciled on OPTRACK and you feel very comfortable using OPTRACK on your own. Only after we have exceeded your expectation and you agree to be invoiced, will we proceed with sending you an invoice for OPTRACK.
- When does the licensing period start?
The licensing period starts from the time that you determine that we have exceeded your expectations during the implementation stage.
- If I am interested, how long will the implementation take?
The implementation time will depend on the size and complexity of your data. The fastest implementation took an effort of 15 minutes, and the longest implementation took an effort of about 10 days. On average, implementing your historical data on OPTRACK takes an effort of about 1 day. OPTRACK will take the full responsibility of data loading and the full accountability for the accuracy of that data load.
- I am currently using another software solution, how easy is it to switch?
We have many clients who have switched to OPTRACK after using other solutions. Once you determine that you would like to take the OPTRACK training, and would like to have your historical data on OPTRACK, we will tell you exactly which reports you need to download from the other system and send to us. As we have mentioned in earlier points, we will take the full responsibility of the implementation and will have the full accountability for the accuracy of your data being loaded into OPTRACK.
- What do I have to pay if after the training I decided that I do not need OPTRACK?
If after the training, you decide that you do not want to use OPTRACK, you will have no obligation to pay anything. We will package your data into a spreadsheet format, send it to you, delete it from the system, and if you choose so, put you onto our calendar for a call-back in six months.
- My data is strictly confidential, can I trust you by sending you this information?
Absolutely. All OPTRACK employees have signed a copy of the Company Privacy Statement and Non-Disclosure Agreement. In addition, only the employees who need to see your data have the right to see it. Please feel free to review our Privacy Policy, which is based on the Canadian Privacy Laws, one of the most stringent privacy laws in the world.
- What measures you have taken to ensure the security of my data?
Your data is fully secure with OPTRACK: All the communication is fully encrypted under 128-bit encryption. On a daily basis, our network security is reviewed, and we get certified daily if we pass this review. We maintain a complete audit trail of all the changes to your data. We also have applied various login/password security measures in the application. In addition, we conduct an annual SAS-70 audit that reviews all these security measures.
- Are you SAS-70 certified? Do you have proper internal controls in place?
Absolutely. Our SAS-70 reports are available for download once you log into OPTRACK.
- What infrastructure do I need in order to access and use OPTRACK?
To access OPTRACK, all your need is a computer screen and an Internet connection. This means that you can access OPTRACK anytime from anywhere in the world.
- What if I need support after implementing OPTRACK?
We have a support team providing 24 by 7 support that can be reached either by phone or email, depending on your preference. In case you do not get hold of a live support person, our average response time to e-mails and voice mails is 15 minutes. Our support team is highly professional. The least qualified person on the support team has a Bachelor of Commerce, and has successfully completed the second-level CFA. The Support Team will answer all your questions whether they are related to the system functionality or related to the accounting aspects of the stock-based compensation.
- What is the cost of adding more users to OPTRACK?
You can have as many users as you want for your company on OPTRACK, and there is no cost of adding more users.
- What is the cost of OPTRACK?
The annual cost of OPTRACK depends on your number of optionees. The fee structure and the pricing policy is normally discussed in more detail at the end of the OPTRACK demonstration. Having said that, all OPTRACK clients have indicated to us that the value that they get from OPTRACK far surpasses the annual fees.
- I have staff at multiple geographic locations, can they use OPTRACK and will OPTRACK capture the different parameters at each location?
Absolutely. OPTRACK is available via the Internet and can be accessed from anywhere in the world.
- I want my auditors to see my reports in OPTRACK, can I grant them a read-only access to OPTRACK?
Absolutely. This is actually the normal practice with most OPTRACK clients. In OPTRACK, we have role-specific accesses, one of which is the read-only or Auditor Access. The Auditor Access will allow auditors to log onto the system and only access the reports.
- Can employees review option grant and share information online using OPTRACK?
Absolutely. In OPTRACK, we have role-specific accesses, one of which is Employee Access. The Employee Access will allow employees to log onto the system, access option grant and share information specific only to them, and conduct exercise transactions on their stock.
- If I am looking for specific reports that OPTRACK currently does not generate, can I ask OPTRACK to customize it for me and what will that cost?
We actually do better than providing customization services for a fee like what some other providers do. In OPTRACK, we welcome all the enhancements our clients recommend to us. In fact, it is the valuable recommendations from our clients that made OPTRACK what it is today – a complete and powerful option tracking tool. Please don’t hesitate to give us a call or write us an email about your requirements and suggestions, we will review them and provide you an update as to when they can be completed. We never charge for these enhancements as they will be available to all our existing clients. This strategy allows all companies using OPTRACK to benefit from the suggestions of other users, which is a win-win-win situation.
- When did OPTRACK start?
The parent company and creator of OPTRACK, SyncBASE Inc, started in 2003, and specializes in building software products for accounting solutions.

- Are you FAS123(R) and CICA 3870 compliant?
Absolutely. Our product is a solution designed and built to effectively fulfill those regulatory requirements. Not only does our product address valuation, expensing, disclosure and share dilution calculations, as part of our service, our support team is extremely knowledgeable about all aspects of stock-based compensation accounting, and will answer any questions that you have either about the system or the accounting treatment. We never charge for our support services.
- Do you offer professional services?
Yes, we do. Everyone on our support team is a financial professional and we offer consulting services related to Stock-based Compensation as part of our services covered by the licensing fee. This means there is no extra charge related to our professional service.
- What types of valuation methods does the system support?
We support both Black-Scholes and Lattice/Binomial methods, or any other value you prefer via an override on the system.
- Do you provide journal entries?
Absolutely. OPTRACK generates all the journal entries for any period you select and for any type of accounting activities related to Stock-based Compensation, including various true-ups and adjustment entries.
- How does OPTRACK handle variable accounting associated with the periodic revaluation of equity/liability instrument, e.g. for consultant options and Share Appreciation Rights?
Yes, OPTRACK handles all aspects of variable accounting and incorporates all calculations into the generation of journal entries, as well as providing a complete backup of these calculations.
- Do you provide all types of financial disclosures (e.g. 10K/ Qs)?
Absolutely. We provide both U.S. and Canadian notes disclosures. For more info on what we provide, please refer to Benefits  .
- Do you provide share dilution calculations?
Absolutely. Our EPS calculation is both CICA 3500 and FAS128 compliant. In OPTRACK we provide not only the share dilution numbers at a click of a mouse, as well as the most detailed backup explaining how the numbers are derived.
- How long does it typically take to run the OPTRACK reports?
All of the reports in OPTRACK are designed to run with a sub-second response. However the actual speed of the report depends on size of the data downloaded to the local machine, the general Internet back-bone connectivity, and the bandwidth that you have with your Internet Service Provider.
- Are your reports auditable?
Absolutely. We are proud of our ability to fully justify any number that the system produces by showing the detailed calculation of that number at a click of a button.
- Does OPTRACK have a forecasting tool for my future Stock-based Compensation expense?
Absolutely. OPTRACK generates reports to project expenses at any selected future date based on the existing information entered into the system.
- Does OPTRACK handle corporate actions such as stock splits?
Absolutely. OPTRACK handles all manner of corporate actions such as stock splits (stock dividends) and consolidations. If you would like to preserve a copy of your pre-split (consolidation) data, that functionality is also available at no additional cost.
- Do you provide employee self-service capability for cashless exercise transactions?
Yes we do. Your employees can access OPTRACK via the employee access portal and submit their cashless exercise request. We will carry out the cashless exercise transaction and will involve a broker of your choice. We are not affiliated with any brokers and unlike some other providers, we do not receive any commissions from exercise transactions.
- Can I export my data out of OPTRACK?
Absolutely. We believe all data on the system is your property and we provide export options extensively. You can extract the data either in its raw format, or by running any report and downloading it to Excel.
- How do you control user access within OPTRACK?
OPTRACK uses a single-sign-on system, which enables multiple individuals to access data from OPTRACK simultaneously and in real-time. The data being accessed will depend on the user role, which could be an administrator, an HR manager, an auditor, a broker, a transfer agent or an employee. In addition, OPTRACK keeps track of the complete access logs for different roles, and provides extensive security features for user authorization and authentication.
- Do you keep a system audit trail?
Yes we do. The audit trail is available on the back-end and can be generated at any time upon a user request, of course, at no additional cost.
